These terms of use (the “Terms“) apply to Drama Republic Limited’s (“Drama Republic”, “we“, “us“, or “our“) website, online features, publicity and asset hubs (“Website”) which link to these Terms. These Terms apply to your (the “User”, “you”) rights and responsibilities in connection with the use of this Website.
By using the Website, the User agrees to be bound by these Terms and personally consents to the collection, processing and use of their personal data in accordance with our Privacy Policy. Do not use the Website if you cannot agree with any of these terms.
“Website Services” shall mean any service on, or provided by, the Website, and includes the content of the Website, including any and all human readable patent audio and/or visual elements of this Website created or owned by Drama Republic, or third parties, including, without limitation, any text, graphics, images, illustrations, photographs, animations, video, audio or audiovisual works (including, without limitation, television series trailers, television programmes or other episodic works), designs, logos, information and other content made available through the Website (“Website Content“), and any and all underlying elements of the Website, including, without limitation, source code, script, object code, software, computer programs, and other sets of statements and instructions contained in the underlying Website.
1. Ownership
a. The Website and the Website Services and all copyrights, patents, trademarks, service marks, trade names and all other intellectual property rights in the Website and the Website Services are owned or licensed by Drama Republic and are protected by copyright and other intellectual property laws. The User acknowledges, understands and agrees that it shall not have, nor be entitled to claim, any rights in or to the Website or Website Services and/or any portion thereof.
b. The posting of the Website does not constitute a waiver of any right in or relating to the Website (or any such Website Content). Except as expressly granted in these Terms, you do not acquire any rights, title or interest in or relating to the Website, the Website Services (or any such Website Content).
2. License to Use
a. Subject to these Terms, Drama Republic hereby grants to the User the following limited, revocable, non-exclusive, non-transferable, non-assignable, worldwide, royalty-free rights and licenses (each a “License“), to:
i. access and view the Website (including, without limitation, any Website Content provided on or through the Website) for lawful use only, as intended through the customary and authorized functionality of the Website;
ii. stream certain Website Content, in particular television programme trailers, using any of the widgets and/or other digital streaming Internet video players for the non-commercial use of the User;
iii. access and make use of the Website for your own use. The User is not allowed to: (i) reproduce, duplicate, copy, sell, re-transmit, distribute or otherwise exploit the Website including any Website Content for any commercial purpose without obtaining prior permission from Drama Republic; (ii) make derivative use of the Website or its contents; (iii) download or copy information for the benefit of another business; or (iv) use data mining, robots or similar data gathering and extraction tools on the Website to collate and/or extract any Website Content;
iv. print off reasonable copies, and download extracts, of any page(s) from the Website for the User’s own private use. The User must not modify the paper or digital copies of the Website Content that it has printed off or downloaded in any way, and the User must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
b. The User must not misuse the Website by knowingly introducing viruses or other material, which is malicious or technologically harmful, attempt to gain unauthorised access to the Website, or attack the Website via a denial-of-service attack or a distributed denial-of service attack. Drama Republic will report the User to the relevant authorities for such acts.
c. Access to or use of the Website Content may be prohibited by law in certain countries and/or jurisdictions. The User is responsible for compliance with all applicable laws and regulations of the country from which the User is accessing the Website. Drama Republic makes no representation or warranty that the Website (or any Website Services including any Website Content) is appropriate or available for use in other locations outside England and Wales.
d. Drama Republic reserves the right to suspend or terminate the User’s access to the Website (or portions of it) at any time if Drama Republic believes that the User is using the Website in any way that is contrary to any of these Terms, and if the User prints off, copy or download any part of the Website in breach of these Terms, the User must, at our option, return or destroy any copies of the materials the User has made.
3. Availability and Faults
a. Access to and use of the Website are provided and permitted on a temporary basis. The Website will not always be available and may have some faults. Drama Republic is under no obligation to update any information contained on the Website. Drama Republic reserves the right, at its sole discretion, to change, modify, add or remove any portion of these Terms, the Website, the Website Services, and/or the Privacy Policy in whole or in part, at any time without notice which changes will take effect from the date of posting. If the User objects to any such changes, the User’s sole recourse will be to stop using the Website.
b. Our Website is provided on an “as is,” and “as available” basis, and to the extent permitted by law, access is granted without any guarantees, conditions or warranties of any kind. To the fullest extent permissible pursuant to applicable law, Drama Republic disclaims all warranties implied or express (including of merchantability, non infringement and fitness for purpose).
4. Information Only
a. Nothing in the Website constitutes an offer to buy or sell products and/or services in any jurisdiction. The Website is for information only. All details, descriptions and other information relating to products and/or services and/or content appearing on the Website are of a general nature only.
b. Drama Republic makes no representations, warranties or guarantees, whether express or implied, that the content on the Website is accurate, complete or up to date. Drama Republic is not liable for loss incurred by the User from relying on information on the Website.
5. No Submissions
Drama Republic does not accept submissions of any sort including, without limitation, any creative ideas, formats, scripts, showreels or other materials via the Website.
6. Third Party Websites
The Website may contain links to other websites operated by other companies and persons (“Third-Party Websites”). These links are intended to provide further information only. The inclusion on the Website of any link to a Third-Party Website does not mean that we approve, endorse or accept any responsibility for that Third-Party Website, its content or use, or the use of products and/or services made available through such Third-Party Website. Drama Republic has not investigated, monitored or checked any Third-Party Websites for accuracy, completeness or conformance with applicable laws and regulations. Drama Republic is not responsible for any damages or losses caused as a result of the User’s use of, or reliance on, such Third-Party Websites and it is acknowledged by the User that it shall access any Third-Party Websites at its own risk. All terms and conditions and policies of the Third-Party Websites the User visits will apply to the User while on such Website and it is up to the User to check them.
7. Links to Our Website.
The User must not create any link or links to the Website from another website or document without Drama Republic’s prior written consent. The User may link to the home page of the Website, provided it does so in a way that is fair and legal and does not damage our reputation or take advantage of it. The User must not establish a link in such a way as to suggest any form of association, approval or endorsement on Drama Republic’s part where none exists. You must not establish a link to the Website in any website that is not owned by you. The Website must not be framed on any other website, nor may the User create a link to any part of the Website other than the home page. We reserve the right to withdraw linking permission without notice.
8. Exclusion of Liability.
a. Drama Republic does not seek (and nothing in these Terms is intended) to exclude or limit liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, nor any other liability, which cannot be excluded or limited under applicable law.
b. Subject to the foregoing, Drama Republic will not be liable to the User for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: the use of, or inability to use, the Website; or use of or reliance on any content displayed on the Website. In particular, Drama Republic will not be liable to the User for: (i) loss of profits, sales, business, or revenue; (ii) business interruption; (iii) loss of anticipated savings; (iv) loss of business opportunity, goodwill or reputation; or (v) any indirect or consequential loss or damage.
9. General Provisions
a. The User agrees to comply with all applicable laws, rules and regulations in connection with its activities under these Terms. The User will indemnify Drama Republic, its employees, agents, representatives, associates, affiliates, parent and subsidiary corporations from any cost or damage arising out of any claim related to its use of the Website or the Website Services (including the use of the Website or the Website Services by employees, agents or representative of the User) or a breach by the User or its employees, agents or representatives of any term of these Terms.
b. With the exception of permitted use of the Website Content, the User shall not capture, reproduce, perform, transfer, sell, license, modify, manipulate, create derivative works from or based upon, republish, upload, edit, post, transmit, publicly display, frame, link, distribute, or exploit in whole or in part the Website and the Website Services or otherwise use the Website or the Website Services on any other website, other networked computer environment, or in any medium now known or hereafter developed. Except as provided herein, any other copy or use of any portion of the Website is not authorized, will be a violation of these Terms and will constitute a copyright violation. Any violation of copyright laws may be subject to severe civil and criminal penalties.
c. The User and its employees, agents or representatives shall not interfere or attempt to interfere with the operation of the Website in any way through any means or device including, but not limited to, spamming, hacking, uploading computer viruses or time bombs), or any other means expressly prohibited by any provision of these Terms or by law, shall not use bots, spiders, offline readers or other automated systems to access or use the Website in a manner that sends more request messages to the Website’s servers in a given period of time than a human can reasonably produce in the same period by using a conventional web browser, and shall not do anything that is likely to adversely affect or reflect negatively upon or harm the goodwill or reputation of Drama Republic or any of its affiliates, or the Website, or any of the content running or being promoted on the Website (including, without limitation, any movie, television program or other initiative).
10. General.
a. These Terms contain the entire understanding between Drama Republic and the User with respect to the use of the Website. No representation, statement, inducement oral or written, not contained in these Terms (as updated from time to time) shall be binding.
b. Each of the provisions of these Terms is severable. If any provision of these Terms is or becomes illegal, invalid or unenforceable under the law of any jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law. The remaining provisions of these Terms shall remain in full force and effect.
c. Please note that these terms of use, their subject matter and their formation, are governed by English law. Drama Republic and the User hereby agrees that the courts of England and Wales will have exclusive jurisdiction.
